Terms of service

1. Service

Clinq ("the Service") provides web-based software that allows a UK general practitioner practice ("you", "the Practice") to take patient bookings, payments, and video consultations through the WhatsApp Business platform. These terms govern your use of the Service.

2. Accounts

To use the Service, the Practice must register an account at clinq.online/register. You confirm that the person registering has authority to bind the Practice. New accounts are reviewed before outbound messaging is enabled, and we reserve the right to decline registration without giving reasons.

You are responsible for keeping login credentials confidential and for all activity under your account. Two-factor authentication is required for administrators.

3. Acceptable use

You agree not to use the Service to:

  • Send unsolicited marketing messages.
  • Impersonate another practice or healthcare provider.
  • Process the personal data of patients without a lawful basis under UK GDPR.
  • Violate the WhatsApp Business Messaging Policy or any applicable law or regulation.
  • Attempt to circumvent security, rate limits, or access controls.

4. Fees and payment

The Service is offered on a tiered monthly subscription. Fees and tier inclusions are listed on the registration page and in your dashboard. After any free trial, subscriptions auto-renew until cancelled. You may cancel from your dashboard at any time; cancellation takes effect at the end of the current billing period.

Card payments taken from patients flow through Stripe — either via Semble's hosted checkout, or, on Pro+ tiers, through your own Stripe Connect account. Stripe's own fees and terms apply to those transactions.

5. Data protection

For patient personal data processed through the Service, the Practice is the data controller and we are the data processor. By using the Service you agree to our data processing terms, available on request, which form the contract required under Article 28 UK GDPR.

6. Availability

We aim to keep the Service available 24/7 but make no guarantees of uninterrupted operation. We may take the Service offline for planned maintenance with reasonable notice.

7. Suspension and termination

We may suspend or terminate your access to the Service if you breach these terms, if your payment fails, or if Meta, Stripe, or another sub-processor we rely on terminates our ability to provide the relevant feature to your account.

On termination we will, on request and within a reasonable period, export patient data and message history to you in a structured machine-readable format and then delete it from our systems.

8. Disclaimer

The Service is a communications and booking tool. It is not a clinical decision support system and does not provide medical advice. Clinical decisions remain the sole responsibility of the registered practitioner. The Service is provided "as is" without warranties of any kind, except as required by UK consumer law.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or in connection with these terms is limited to the fees paid by the Practice in the twelve months preceding the event giving rise to the claim. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded.

10. Governing law

These terms are governed by the laws of England and Wales. The English courts have exclusive jurisdiction over any dispute arising under them.

11. Changes

We may update these terms from time to time. Material changes will be notified to the Practice administrator by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
